Welcome to Uplift. These Terms of Service (“Terms”) govern your access to and use of the Uplift website, platform, app, content, and related services (collectively, the “Services”).

By accessing or using Uplift, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Who We Are

Uplift is operated by Inovo Studios, LLC (“Uplift,” “we,” “us,” or “our”).

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use Uplift.

Uplift is not intended for children under 13, and children under 13 may not use the Services.

By using Uplift, you represent and warrant that you meet these eligibility requirements.

3. Description of Services

Uplift provides access to a paid online community, mentorship content, community discussions, digital resources, and related experiences delivered through our website, app, and hosted platform.

All Uplift services require payment, except for any limited free trial period we may offer from time to time, including the current 7-day free trial.

We may update, modify, or discontinue any part of the Services at any time.

4. Account Registration

To access Uplift, you may be required to create an account and provide certain information, such as your name, email address, and payment details.

You agree that:

  • the information you provide is accurate and current
  • you will keep your login credentials secure
  • you are responsible for all activity under your account

5. Paid Membership and Billing

Uplift is a paid community. Access to the Services requires payment of the applicable membership or subscription fee, except during any stated free trial period.

By signing up, you agree to provide current, complete, and accurate billing information.

Payments are processed through Stripe. We do not store your full payment card information on our own servers.

By purchasing or starting a trial for Uplift, you authorize us and our payment processor to charge your selected payment method for applicable fees, taxes, and recurring subscription charges, if applicable.

6. Free Trial

Uplift currently offers a 7-day free trial for eligible users.

By starting a free trial, you understand and agree that:

  • you may be required to provide payment information at the time of signup
  • unless you cancel before the end of the 7-day trial period, your membership will automatically convert to a paid subscription
  • your selected payment method will be charged at the applicable rate after the trial ends
  • free trial eligibility may be limited to new members and may not be available more than once per person

We reserve the right to modify or terminate the free trial offer at any time.

7. Subscription Terms

If you enroll in a recurring membership or subscription:

  • your subscription will renew automatically unless canceled before the next billing cycle
  • you authorize recurring charges to your payment method
  • you are responsible for managing or canceling your subscription before renewal if you do not want to continue

Any pricing, renewal terms, billing interval, and membership details presented at checkout are incorporated into these Terms.

8. Cancellation and Refunds

You may cancel your membership or subscription at any time through your account settings, if available, or by contacting [email protected].

If you cancel during your 7-day free trial, you will not be charged, provided you cancel before the trial period ends.

Refunds

We offer the following refund policy for paid memberships:

  • Within the first 30 days of paid membership: you may request a full refund, no questions asked.
  • After the first 30 days: payments are generally non-refundable, except as described below.

For members on an annual plan, we may, in our discretion, offer a prorated refund for unused months if the refund request is made within a reasonable period after the annual charge, generally within 60 to 90 days of the billing date.

After that window, annual plan payments are generally non-refundable.

Canceling your membership stops future renewal charges, but does not automatically entitle you to a refund except as provided in this section.

We reserve the right to deny refund requests in cases of abuse, fraud, or repeated refund requests.

9. Community Rules and Acceptable Use

You agree to use Uplift respectfully and lawfully.

You may not:

  • violate any law or regulation
  • harass, abuse, threaten, or harm others
  • post defamatory, obscene, hateful, or infringing content
  • upload viruses, malicious code, or harmful material
  • attempt to gain unauthorized access to the platform or other users’ accounts
  • interfere with the operation or security of the Services
  • use the Services for spam, solicitation, or fraudulent purposes

We reserve the right to suspend or terminate access for users who violate these Terms or disrupt the community experience.

10. User Content

You may be able to post content, comments, messages, or other materials through Uplift (“User Content”).

You retain ownership of your User Content. However, by posting or submitting User Content through the Services, you grant Uplift a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and use that content as necessary to operate, provide, improve, and promote the Services.

You represent and warrant that:

  • you own or control the rights to your User Content
  • your User Content does not violate the rights of any third party
  • your User Content complies with these Terms

We may remove User Content at our discretion if we believe it violates these Terms or harms the platform or community.

11. Intellectual Property

All content, branding, text, graphics, logos, designs, videos, downloadable materials, software, and other materials provided by Uplift, excluding User Content, are owned by or licensed to Uplift and are protected by applicable intellectual property laws.

You may not:

  • copy, reproduce, republish, or distribute our materials
  • modify or create derivative works from our content
  • use our content or branding for commercial purposes without written permission

Your use of the Services does not give you ownership of any Uplift intellectual property.

12. Privacy

Your use of the Services is also governed by our Privacy Policy.

13. Termination

We reserve the right to suspend or terminate your access to Uplift at any time, with or without notice, if:

  • you violate these Terms
  • you fail to pay required fees
  • your conduct harms the community or platform
  • we believe termination is necessary to protect Uplift or its users

Upon termination, your right to use the Services will immediately end.

14. Disclaimers

Uplift is provided on an “as is” and “as available” basis. We do not guarantee that the Services will always be uninterrupted, error-free, or completely secure.

We make no guarantees regarding specific personal, spiritual, relational, financial, or business outcomes from participation in the community.

15. Limitation of Liability

To the fullest extent permitted by law, Uplift and its owners, operators, affiliates, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

To the fullest extent permitted by law, our total liability for any claim relating to the Services shall not exceed the amount you paid to Uplift in the three (3) months preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless Uplift and its affiliates, officers, employees, contractors, and agents from and against any claims, losses, damages, liabilities, and expenses arising from:

  • your use of the Services
  • your User Content
  • your violation of these Terms
  • your violation of any rights of another person or entity

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date above.

Your continued use of Uplift after updated Terms are posted constitutes your acceptance of those revised Terms.
